1. Acceptance of Terms

By accessing or using Code Baseline ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Code Baseline provides code health monitoring, analysis, and reporting services. We offer tools to track code quality metrics, change impact analysis, and risk assessment across software repositories.

3. Account Registration

To use our Service, you must:

• Create an account with accurate information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or have parental consent

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile any part of the Service
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without authorization

5. Your Data

You retain ownership of your code and data. By using our Service, you grant us a limited license to access and analyze your repositories solely for the purpose of providing the Service. We will handle your data in accordance with our Privacy Policy.

6. Subscription and Billing

Paid plans are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred. Subscription renewals are automatic unless cancelled before the renewal date.

• Free trials do not require payment information
• Upgrades take effect immediately
• Downgrades take effect at the next billing cycle
• Refunds are provided at our discretion

7. Service Level Agreement

For Team and Enterprise plans, we commit to:

• 99.9% uptime availability
• 24-hour response time for critical issues
• Regular security updates and maintenance

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Code Baseline and protected by international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, Code Baseline shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Code Baseline and its employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may export your data within 30 days
• No refunds will be provided for unused portions

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County.
